Terms and Conditions of Use
DR. VINCE CLINICAL RESEARCH WEBSITE TERMS OF USE
Effective Date: October 2, 2026
ARBITRATION NOTICE. These Terms include binding individual arbitration instead of a court or jury trial and a class-action waiver for covered Site-related disputes, where such terms are legally enforceable.
I. Parties, Site, and Acceptance
These Terms of Use (“Terms”) are between Dr. Vince Clinical Research, LLC, a Delaware limited liability company (“DVCR,” “we,” “us,” or “our”), and the individual or organization agreeing to them (“you” or “your”), including Site users, prospective study participants, and business users. “Site” means the public website located at drvince.com, all webpages and URL paths under that domain (e.g., drvince.com/cro), and any DVCR-operated online feature that expressly makes these Terms applicable. If you agree to these Terms on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. In that case, “you” and “your” refer to the organization. Dr. Vince Clinical Research, LLC is the sole DVCR party to these Terms. No other person or entity becomes a party to these Terms merely because these Terms mention such person or entity or because such person or entity helps operate the Site.
You agree to these Terms by checking the box indicating that you agree to them. If you do not agree, you can still contact us directly, but you cannot use Site features that require acceptance of these Terms.
II. Scope and Order of Precedence
These Terms govern your use of the Site, including its content and online features. They do not govern clinical screening or care, informed consent, study participation or injuries, study payments, information collected as part of a study, employment, or services covered by a separate agreement. Those matters are governed by applicable study documents, other agreements, and law. If you separately agree to terms for a particular Site feature, those terms control if they conflict with these Terms about that feature.
III. Medical Information and Study Information
The Site provides general information, not medical advice, diagnosis, or treatment. Do not delay or change your medical care based on information on the Site. If you have a medical emergency, call your local emergency number. If you are participating in a study, use the contact information provided by your study team for symptoms, adverse events, or other study-related concerns. Do not use the Site’s general contact forms for urgent medical or study-related matters.
The Site may describe studies that are recruiting or may become available. Study details, including eligibility criteria, availability, schedules, and compensation, may change. Confirm current details with the study team. Submitting an inquiry or registering your interest does not establish eligibility or guarantee enrollment. Whether you can participate depends on the study’s requirements, screening, investigator assessment, whether the study is still enrolling, and your study-specific informed consent. Participation does not guarantee a medical benefit. Compensation shown on the Site, including an “up to” amount, is not guaranteed to everyone who inquires or enrolls. The applicable study materials will explain the amount you may earn, the conditions for payment, and the payment schedule.
IV. Scientific and Business Information
Publications, webinars, commentary, and other resources on the Site reflect information available when they were prepared and may become outdated. They are provided for general information, not as advice tailored to a particular project or as a guarantee of any outcome. Testimonials and examples do not guarantee similar results. A business inquiry or request for proposal submitted through the Site does not, by itself, create an agreement for services with DVCR. If DVCR agrees to provide services, a separate agreement will govern them. A job posting is not an offer of employment.
V. Permitted Use and Intellectual Property
The Site and its content are owned by DVCR or its licensors and are protected by applicable intellectual property laws. You may view the Site and download or print reasonable copies of its content for your personal information, consideration of study participation, or internal business evaluation. Keep all copyright and other proprietary notices on any copies. Except for those permitted copies or as allowed by law, you may not reproduce, modify, distribute, republish, or commercially exploit Site content without the rights holder’s permission. You may not frame the Site or use a name, logo, or trademark displayed on it in a way that suggests endorsement or affiliation without permission. You may link to public pages of the Site if the link is lawful and not misleading. No other intellectual property rights are granted.
VI. Prohibited Conduct
When using the Site, you may not:
- Register for a study or submit personal information through the Site on your own if you are below the age at which applicable law permits you to do so without a parent’s or guardian’s authorization;
- Knowingly provide false or misleading information through the Site, including in a volunteer registration, study inquiry, business inquiry; or job application;
- Violate applicable law or another person’s or entity’s rights;
- Impersonate anyone or misrepresent your authority.
- Access accounts, data, or systems without authorization, bypass security measures, or conduct security testing without permission;
- Introduce malicious code, disrupt the Site, or interfere with anyone else’s use of it.
- Submit unlawful or infringing material or unsolicited advertising; or
- Collect other users’ personal information; scrape or systematically extract Site content; or use Site content to train or fine-tune AI models, in each case without DVCR’s authorization, except as permitted by applicable law. This restriction does not prohibit search engines, AI search engines, or other indexing services from crawling, indexing, retrieving, or displaying excerpts or summaries of public Site content for search and discovery purposes.
VII. Submissions and Confidential Information
Submit information only if you are authorized to provide it, and use the form or channel intended for that information. Do not enter medical records, passwords, government identification numbers, or confidential business information in open-ended contact or inquiry boxes. Before sending confidential study protocols, unpublished results, or other proprietary materials, ask DVCR for an appropriate way to provide them.
You retain any intellectual property rights you have in materials you submit through the Site. You grant DVCR a nonexclusive, royalty-free license to use, store, and transmit those materials, including through service providers acting on its behalf, only as reasonably necessary to respond to your submission, operate and secure the relevant Site feature, and comply with law.
VIII. Privacy, Cookies, and Communications
Our Privacy Policy and Cookie Notice describe how we collect and use personal information when you visit or use the Site, including information you provide and information collected automatically, and explain your privacy choices. We may use the contact information you provide to respond to your request and send information related to it. Providing your contact information or agreeing to these Terms does not, by itself, authorize marketing communications. Where required, we will obtain marketing consent separately. You may opt out of marketing emails using the unsubscribe link in the email or by contacting privacy@drvince.com.
IX. Third-Party Resources
The Site may link to websites and services operated independently of DVCR or display content from other sources. A link or reference does not, by itself, imply DVCR’s endorsement of the source or its content or services. Independently-operated websites and services (e.g., YouTube) may have their own terms of use, privacy policies, and privacy practices. Before providing information to or using an independently operated website or service, review its terms of use and privacy policy, if available, for information about its practices. DVCR does not control the content, operation, or privacy practices of independently operated websites or services.
X. Availability, Suspension, and Accessibility
The Site or a feature may be unavailable from time to time, including for maintenance or because of technical disruptions. We may modify or discontinue Site content or features. We may restrict or suspend access when reasonably necessary to address misuse, security risks, legal requirements, or operational needs, and will provide notice where required by law. Contact us using the details below if you need accessibility assistance.
XI. Warranties and Liability
NOTICE TO QUÉBEC CONSUMERS: If Québec’s Consumer Protection Act applies to these Terms, the disclaimers, exclusions and limitations of liability in this subsection do not apply to you.
To the fullest extent permitted by law, the Site and its content are provided “AS IS” and “AS AVAILABLE,” without implied warranties of merchantability, fitness for a particular purpose, title, or noninfringement. DVCR does not guarantee that the Site or its content will be accurate, complete, current, uninterrupted, or error-free.
To the fullest extent permitted by law, DVCR and its officers, directors, employees, agents, website service providers, and licensors, in each case acting in connection with the Site (the “Protected Parties”), are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, or goodwill, whether characterized as direct or indirect, arising out of or relating to the Site or these Terms. This exclusion applies regardless of legal theory, even if a Protected Party was advised that such loss was possible.
To the fullest extent permitted by law, the Protected Parties’ combined aggregate liability to you for all claims arising out of or relating to the Site or these Terms will not exceed $100 USD. Nothing in this section excludes or limits liability or remedies to the extent applicable law prohibits their exclusion or limitation. These limitations do not apply to matters excluded under “Scope and Order of Precedence.”
XII. Indemnification
Business users. If you affirmatively accept these Terms on behalf of a business or other organization that is not a Protected Party and have authority to bind it, that business or organization will defend and indemnify the Protected Parties against third-party claims, and resulting reasonable losses, liabilities, damages, judgments, and defense costs, to the extent caused by: (a) unlawful or infringing information or materials that it submits through the Site; (b) its intentional misuse of the Site; or (c) its material breach of the Site-use restrictions in these Terms.
Individuals. If you accept these Terms on your own behalf, you will reimburse the Protected Parties for reasonable, documented defense costs, including costs incurred while a claim is pending and reasonably attributable to covered conduct, and reasonable amounts paid under a judgment or settlement of a third-party claim, to the extent caused by: (a) material that you submit through the Site and knew or reasonably should have known was unlawful or infringed another person’s rights; or (b) your intentional misuse of the Site in violation of law or another person’s rights. An ordinary study inquiry or submission of information in connection with seeking, screening for, or participating in a study does not, by itself, trigger this obligation.
Limits and claim procedures. Neither obligation covers a Protected Party’s own wrongdoing, a claim brought by the indemnifying person or organization against a Protected Party, a matter excluded under “Scope and Order of Precedence,” or liability that applicable law does not permit these Terms to transfer to the indemnifying person or organization. DVCR will give reasonably prompt notice of a covered claim. Any delay in notice will reduce the indemnification obligation only to the extent it materially prejudices the defense. An indemnifying organization may control the defense with counsel reasonably acceptable to DVCR. DVCR may take control at the business’s or organization’s reasonable expense if the business or organization fails to defend after reasonable notice or a material conflict prevents it from conducting the defense. DVCR will not settle a covered claim at an indemnifying person’s or organization’s expense without that party’s consent, not to be unreasonably withheld. A business or organization controlling the defense may settle without DVCR’s consent only if it pays the settlement in full; fully releases the Protected Parties; and imposes no admission of fault or other obligation on them.
XIII. Arbitration and Class Action Waiver
NOTICE TO QUÉBEC CONSUMERS: If Québec’s Consumer Protection Act applies to these Terms, the disclaimers, exclusions and limitations of liability in this subsection do not apply to you.
Agreement and Scope. You and DVCR agree to resolve Covered Disputes by binding arbitration rather than in court, except as provided in this section. A “Covered Dispute” is any claim arising out of or relating to the Site, these Terms, or website-related content, communications, or information practices, whether based on contract, tort, statute, or another legal theory. This includes website privacy, security, tracking, recording, video-viewing disclosures, advertising, and electronic-communications claims, to the extent arbitrable.
To the fullest extent permitted by law, this agreement covers Covered Disputes arising from Site activity before or after acceptance. It does not override a controlling earlier dispute agreement or apply to a dispute filed in court or arbitration or asserted in a written demand received by DVCR before acceptance of these Terms, unless the parties agree otherwise after the dispute arises.
As provided under “Scope and Order of Precedence,” this section does not govern clinical screening or care, informed consent, study participation or injuries, study payments, information collected as part of a study, employment, or services covered by a separate agreement. A Site-related claim is not excluded merely because a Site user is considering or participating in a study. If you bring a Covered Dispute against a Protected Party for actions it took on DVCR’s behalf in operating the Site, that Protected Party may enforce this arbitration agreement for that claim, subject to the same limits and obligations that apply to DVCR.
For individuals using the Site primarily for personal, not business or professional, purposes, this section does not limit court or class-proceeding rights protected by applicable law, including Ontario consumer law, or require arbitration of a UK consumer monetary claim of £5,000 or less where the statutory rule applies. Any legally required separate document, signature, or post-dispute agreement must be obtained before arbitration is compelled.
Informal Resolution Initiative. As a condition precedent to commencing arbitration, either party must first give the other written notice describing the dispute, the relief sought, and a means of reply. Notice to DVCR may be emailed to privacy@drvince.com with the subject “Legal Dispute Notice,” or mailed to the address under “Contact,” attention Legal. DVCR may send notice using contact information you provided in connection with the Site.
The parties will make a good-faith effort to resolve the dispute during the 30 days after receipt of notice. Neither party may commence arbitration before that period ends unless both agree to proceed sooner. No settlement or response from the receiving party is required to end the waiting period. Applicable limitation periods are tolled during that period to the extent permitted by law. A failure to satisfy the notice and waiting period requirements delays arbitration until they are satisfied, but does not eliminate the agreement to arbitrate.
Administration and costs. One neutral arbitrator will decide each arbitration.The American Arbitration Association (“AAA”) will administer disputes under its Consumer Arbitration Rules and Mediation Procedures when those rules apply, and domestic business disputes under its Commercial Arbitration Rules and Mediation Procedures. The AAA’s International Centre for Dispute Resolution (“ICDR”) will administer international business disputes under its International Arbitration Rules. The applicable Mass Arbitration Supplementary Rules govern qualifying coordinated filings without combining individual merits decisions. The applicablerules, forms, and fee schedules are available from the AAA, and DVCR will provide them on request. The rules in effect when the applicable administrative filing requirements are met apply, subject to this section and mandatory law.
A user whose dispute is administered under the Consumer Arbitration Rules will not be required to travel to Kansas for an in-person hearing. If an in-person hearing is required, its location will be reasonably convenient to that user. DVCR will pay the fees, arbitrator compensation, and expenses allocated to the business under the applicable consumer fee schedule, plus any additional amounts required by law.
For domestic business disputes, the seat of arbitration will be in Overland Park, Kansas. For international business disputes, the seat of arbitration will be determined under the ICDR rules unless the parties agree otherwise. The language of business arbitration shall be English unless mandatory law requires otherwise or the parties agree otherwise. Fees and expenses for business arbitration will be allocated under the applicable rules and law. Each party shall bear its own attorneys’ fees, except as provided by applicable law or a controlling separate agreement.
Authority. The Federal Arbitration Act governs this arbitration agreement to the extent applicable, without displacing protections it does not preempt. The arbitrator may award relief available under applicable law, including statutory remedies, authorized attorneys’ fees, and injunctive relief. The arbitrator may not decide another person’s claim or adjudicate a nonparty’s rights or liabilities. The arbitrator will issue a reasoned written award. Judgment on the award may be entered in any court with jurisdiction.
Court, Jury Trial, and Class Action Waiver. Except where prohibited by applicable law, you and DVCR waive court and jury trials for arbitrable claims, and agree that any such claims will proceed individually, not as class, collective, or representative proceedings. If the waiver of class, collective, or representative proceedings in this section is found unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court and not in arbitration, whether on an individual, class, collective, or representative basis, and the remainder of this arbitration agreement, including the requirement that all other Covered Disputes proceed in individual arbitration, shall remain in full force and effect.
XIV. Governing Law and Courts
Kansas law governs these Terms, without regard to its conflict-of-laws rules, except to the extent mandatory law requires otherwise. Except for eligible individual claims brought in small-claims court and applications for provisional relief in aid of arbitration, any dispute arising out of or relating to these Terms that is not subject to arbitration must be brought exclusively in the state courts located in Johnson County, Kansas, or the United States District Court for the District of Kansas, unless a party has a non-waivable right to bring it in another court.
XV. Updates to Terms
We may update these Terms from time to time by posting a revised version on the Site and updating the “Last Updated” date. Unless otherwise stated in the revised Terms, the updated Terms will take effect when posted and apply to your use of the Site from that date forward. By continuing to access or use the Site after revised Terms are posted, you agree to the revised Terms. Please review these Terms periodically for changes. If you do not agree to the revised Terms, you must stop accessing and using the Site.
An update applies only to conduct occurring on or after its effective date. It does not change the Terms applicable to earlier conduct or to any claim or dispute arising from that conduct.

XVII. General Terms
Eligibility. THIS SITE IS INTENDED FOR USE BY INDIVIDUALS 18 YEARS OF AGE OR OLDER. WE HAVE NO INTENT TO COLLECT INFORMATION FROM CHILDREN UNDER THE AGE OF 18. IF YOU ARE UNDER THE AGE OF 18, YOU MAY NOT ACCESS OR USE THIS SITE WITHOUT THE CONSENT OF YOUR PARENT OR GUARDIAN.
Severability. If any provision, or part of a provision, of these Terms is held invalid, illegal, or unenforceable, it will be severed to the extent permitted by applicable law. The remaining provisions and any enforceable part of the affected provision will remain in effect to the extent permitted by applicable law.
Waiver. Neither party’s failure or delay in exercising a right under these Terms constitutes a waiver of that right. Any waiver must be in writing and signed by the party granting it, and applies only to the specific instance for which it is given.
Assignment. You may not assign these Terms without DVCR’s prior written consent, except where applicable law permits assignment without consent. DVCR may assign these Terms in connection with a merger, reorganization, or transfer of all or substantially all of the business or assets to which the Site relates, provided the successor assumes DVCR’s obligations under these Terms and your rights under them are not materially reduced.
Beneficiaries. Protected Parties are intended third-party beneficiaries of, and may enforce, only those provisions of these Terms that expressly confer a benefit on them. Except for the Protected Parties to that extent, these Terms confer no rights on any person or entity other than the parties.
Entire Agreement. These Terms, together with any feature-specific terms you accept, constitute the entire agreement between you and DVCR concerning your use of the Site. They do not replace or modify any study-specific consent, authorization, services agreement, confidentiality agreement, or other separate agreement.
Survival. Ceasing to use the Site does not affect rights or liabilities that arose beforehand. Provisions that by their nature should survive your cessation of Site use will remain effective as needed to fulfill their purposes, including, without limitation, provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
